WHEREAS, the Board of Trustees of the University of Illinois (the “University”) desires to enter into an employment agreement with Robert J. Jones (“Jones”), a former University faculty member who was appointed Interim President on December 20, 2017; and
WHEREAS, Jones has served as Interim President since his appointment on December 20, 2017 and has been an active participant in the affairs of the University and its affiliated institutions, including but not limited to attending meetings with various stakeholders at locations across campus as well as communicating with constituents via email or other means; and
WHEREAS, Jones will be required as part of any employment agreement with the University to attend meetings or sessions conducted by or on behalf of the Board at which his presence is necessary under applicable law;
RESOLVED FURTHER That upon recommendation of the President and approval by legal counsel regarding negotiated terms and conditions; subject to available funding (i) The University enter into an employment agreement with Robert J. Jones; (ii) Robert J. Jones be appointed President Emeritus if he later chooses to accept this appointment.”

1 RESOLVED, that pursuant to the Office of the Secretary’s Notice dated January 11, 2018, the waivers issued by the University of Illinois on December 20, 2017, January 8, 2018 and February 7, 2018 are withdrawn.

The Board directs the President to implement policies designed to ensure that no employee of a state agency or state university shall be required to work during a designated holiday unless an emergency situation exists which requires their services and only in such cases will employees receive compensatory time off at their regular rate of pay for hours worked during such holidays.
2 RESOLVED, that the Vice President for Academic Affairs is hereby authorized to make all necessary arrangements with appropriate faculty and administrators for his or her attendance at the plenary session of the Board of Trustees in order to present information to the Board as required in accordance with State law.
The waivers issued by the University of Illinois on December 20, 2017, January 8, 2018 and February 7, 2018 are withdrawn. Pursuant to the Office of the Secretary’s Notice dated January 11, 2018: “it is hereby resolved that all prior waivers granted by the Board of Trustees or its committees to any individual (or entity) are automatically withdrawn if such individuals (or entities) do not attend their respective plenary sessions scheduled for February 13-15.”
3 RESOLVED, that as a further qualification for this employment as well as any continued employment with the University of Illinois concerning any such waiver, the following conditions shall apply:

- Robert J. Jones be appointed President Emeritus if he later chooses to accept this appointment; and
- The Board approve all compensation paid by one or more third parties on behalf of Robert J. Jones in connection with his service as President Emeritus
4 RESOLVED, that upon recommendation of the President and on recommendation of the Committee on Compensation; subject to approval by legal counsel regarding negotiated terms and conditions; and subject to available funding (i) the University of Illinois enter into an employment agreement with Robert J. Jones; and (ii) Robert J. Jones be appointed President Emeritus if he later chooses to accept this appointment.
- RESOLVED, that upon recommendation of the President and on recommendation of the Committee on Compensation; subject to approval by legal counsel regarding negotiated terms and conditions; and subject to available funding (i) the University of Illinois enter into an employment agreement with Robert J. Jones; and (ii) Robert J. Jones be appointed President Emeritus if he later chooses to accept this appointment.
The appointment will be effective up until June 30th, 2023. The term as president emeritus shall begin on July 1st, 2023 at a salary of $250,000 per year plus a one-time lump sum payment equal to nine months’ salary ($1 million).

The Board of Trustees of the University of Illinois hereby rescinds all waivers previously granted to Robert J. Jones and authorizes his employment as President Emeritus, subject to the conditions listed above in resolution 2.
